Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Coexist Group LLC, a United States limited liability company that provides the Service under the CXProAI brand ("CXProAI," "we," "us," or "our"). They govern your access to and use of cxproai.com and its subdomains, CXProAI Studio, the CXProAI API, and any related websites, applications, account services, APIs, storage or media-delivery services, tools, content, features, and services made available by or on behalf of CXProAI (collectively, the "Service").

By creating an account, checking the box indicating your agreement, purchasing or using Credits, or otherwise using the Service, you agree to these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you do not agree, do not use the Service.

If you use the Service for a company or other organization, you represent that you have authority to bind it, and "you" includes both you and that organization.

1. Eligibility and accounts

You must be at least 18 years old and legally able to enter into a binding agreement.

You must provide accurate account and billing information and keep it current. You are responsible for all activity conducted through your account, including activity by anyone you allow to access it.

You must keep login credentials and API keys confidential and use reasonable safeguards to protect them. Do not place API keys in public repositories, publicly accessible client-side code, shared documents, or other insecure locations.

If you know or suspect that an account credential or API key has been exposed, compromised, or used without authorization, you must immediately revoke or rotate it and notify CXProAI. You remain responsible for all requests, charges, and Credits used through your account or API key until the affected credential is disabled, whether or not you personally authorized the use. Unauthorized use of a compromised credential does not entitle you to a refund or Credit adjustment, except where required by law.

We may require identity, payment, ownership, or authority verification and may suspend credentials that we believe create security, fraud, payment, or legal risk.

2. Limited right to use the Service

Subject to these Terms, CXProAI grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Service for lawful personal or business purposes.

CXProAI and its licensors retain all rights in the Service, including its software, code, interfaces, designs, branding, documentation, databases, Catalog, Solutions, workflows, templates, prompts, system instructions, orchestration methods, pricing systems, and underlying technology ("CXProAI Materials").

You may not:

  • copy, sell, license, rent, sublicense, distribute, or create a competing service from the Service or CXProAI Materials;
  • reverse engineer, decompile, disassemble, extract, or attempt to discover source code, system prompts, workflows, models, security controls, or non-public components;
  • scrape, crawl, mirror, harvest, or systematically extract content or data without written permission;
  • bypass access controls, safety systems, billing controls, rate limits, quotas, or technical restrictions;
  • use the Service, Output, or information about its operation to train, develop, evaluate, benchmark, or improve a competing product, model, or service;
  • resell, redistribute, white-label, or provide third-party access to the Service without written permission; or
  • remove or alter proprietary, attribution, provenance, copyright, trademark, or security notices.

If you provide feedback or suggestions, you grant CXProAI a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction, attribution, or compensation.

3. AI Solutions, APIs, and third-party providers

The Service may rely on third-party AI models, hosting, storage, authentication, payment, communications, content-processing, and infrastructure providers. Your instructions, files, and related information may be transmitted to and processed by those providers as necessary to perform your request.

Third-party providers may change their models, policies, prices, availability, functionality, processing times, content controls, or technical requirements at any time. CXProAI does not control and is not responsible for third-party services, models, acts, omissions, outages, delays, filters, refusals, errors, or content.

We may add, modify, substitute, restrict, suspend, interrupt, limit, or discontinue any Solution, provider, model, feature, API version, integration, price, capability, output format, or part of the Service at any time, temporarily or permanently, with or without notice. We do not guarantee continued access to any particular Solution, model, API, provider, feature, workflow, endpoint, capability, price, or level of functionality.

API users are responsible for their applications, end users, requests, security, compliance, usage, and charges. We may impose, reduce, or change rate limits, quotas, technical requirements, supported formats, authentication methods, access restrictions, or API behavior at any time.

Unless we expressly agree otherwise in writing, the Service has no service-level agreement, uptime commitment, availability guarantee, support-response guarantee, processing-time guarantee, error-rate guarantee, capacity reservation, maintenance-notice requirement, or obligation to continue operating any part of the Service. The Service may be unavailable, delayed, degraded, interrupted, restricted, or terminated for maintenance, provider failures, capacity limits, security, legal, business, technical, or other reasons.

4. Input, Output, ownership, and commercial use

"Input" means information, instructions, files, images, audio, video, text, data, or other materials you submit. "Output" means content generated or returned by the Service in response to Input. "User Content" means Input and Output collectively.

As between you and CXProAI:

  • you retain any ownership rights you have in your Input; and
  • to the extent permitted by law, you own Output generated specifically for you, and CXProAI assigns to you any right, title, or interest it may have in that Output.

Subject to these Terms and any clearly disclosed Solution-specific restrictions, you may use your Output for any lawful purpose, including personal, business, advertising, marketing, client, and other commercial uses.

This permission and assignment apply only to rights, if any, held by CXProAI. They do not grant, license, clear, or guarantee rights in:

  • your Input;
  • third-party copyrighted works, trademarks, trade dress, brands, characters, music, recordings, fonts, stock assets, designs, names, images, voices, likenesses, or other protected material;
  • third-party materials incorporated into, referenced by, or resembling Output;
  • CXProAI Materials, provider technology, templates, software, or content generated for other users; or
  • any material subject to separate provider, marketplace, platform, or Solution-specific restrictions.

You are solely responsible for obtaining all rights, licenses, releases, consents, and permissions needed for your Input and your intended use of Output. CXProAI does not provide intellectual-property clearance, legal review, exclusivity, or an infringement indemnity.

Output may not be unique. Other users may receive identical or similar Output. Output may also be ineligible for copyright, trademark, patent, or other protection.

5. License to process your content

You grant CXProAI and its service providers a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, transmit, format, modify, process, display, and otherwise use Input and Output as reasonably necessary to:

  • provide, operate, maintain, support, secure, and troubleshoot the Service;
  • process requests and deliver results;
  • prevent fraud, abuse, security threats, and policy violations;
  • comply with law, legal process, and provider requirements; and
  • evaluate, develop, train, and improve the Service, including creating and using service-improvement and derived information, subject to our Privacy Policy.

This license continues for as long as reasonably necessary for those purposes, including backup, legal-retention, security, and disaster-recovery periods. We may retain and use de-identified, aggregated, statistical, and operational information that does not reasonably identify you.

You represent and warrant that you have every right, permission, license, release, and consent necessary for your Input, our processing of it, and your use of Output.

We may block, remove, preserve, disclose, restrict, or refuse to process content that we believe violates these Terms, creates risk, may be unlawful, is subject to a complaint, or may harm CXProAI, its providers, users, or others.

6. Service improvement and derived information

To operate, evaluate, develop, and improve the Service, CXProAI may use and retain information from Solution runs, including Input, Output, run metadata, publicly available or lawfully obtained information, research results, analyses, scores, classifications, feedback, and information derived from them.

This information may be maintained as individual records or combined and analyzed across runs, users, sources, and time periods. Where appropriate, CXProAI may remove or avoid including identifiers that associate an internal record with the user or account that initiated the run. A record may still identify the topic or public or third-party subject being researched.

CXProAI may retain and use user-unlinked, de-identified, statistical, system-generated, and derived information independently of the original run, User Content, or account, including after the original content or account is deleted, where permitted by applicable law.

As between you and CXProAI, CXProAI owns its internal databases, datasets, benchmarks, models, scoring systems, methodologies, generalized learnings, and Service improvements. This does not transfer ownership of your original Input or your rights in Output generated specifically for you. Your use of the Service does not give you any right to access, inspect, receive compensation for, or require disclosure of CXProAI's internal data, models, methods, prompts, algorithms, or systems.

7. Sensitive, confidential, proprietary, and regulated information

The Service is a general-purpose technology service. Unless CXProAI expressly agrees otherwise in a separate written agreement signed by an authorized representative of Coexist Group LLC, the Service is not designed or approved to receive, store, or process highly sensitive, regulated, privileged, or mission-critical information.

This includes, without limitation:

  • Social Security numbers, tax-identification numbers, passport or driver's-license numbers, and other government-issued identifiers;
  • complete payment-card information, bank-account credentials, passwords, private keys, authentication secrets, or security codes;
  • protected health information, medical records, genetic data, or information subject to health-privacy laws;
  • biometric identifiers or templates;
  • personal information concerning children;
  • information subject to banking, education, payment-card, export-control, professional-secrecy, or similar sector-specific requirements;
  • legally privileged information;
  • trade secrets, confidential business information, proprietary source code, unreleased financial information, or information subject to a nondisclosure agreement or other confidentiality restriction; and
  • any information whose loss, disclosure, alteration, or unavailability could create material harm.

Unless separately agreed in writing, CXProAI does not enter into business-associate agreements, does not undertake obligations under HIPAA, PCI DSS, GLBA, FERPA, or similar sector-specific regimes on your behalf, and does not accept professional, fiduciary, escrow, custodial, or special confidentiality duties.

Submitting information to the Service does not create a confidential, fiduciary, professional, or privileged relationship between you and CXProAI. Any confidentiality obligation of CXProAI is limited to obligations expressly stated in the Privacy Policy or a separate written agreement signed by an authorized representative of Coexist Group LLC.

You are solely responsible for:

  • deciding whether the Service and each applicable Solution and provider are appropriate for your information;
  • classifying, minimizing, redacting, anonymizing, encrypting, and backing up information before submission;
  • obtaining all required rights, notices, authorizations, consents, and agreements;
  • complying with privacy, security, confidentiality, records-management, data-localization, and sector-specific laws and contractual obligations; and
  • avoiding submission of information that you are not authorized to disclose or that requires protections the Service does not expressly provide.

We use safeguards designed to protect information, but no online or third-party processing system is completely secure. You acknowledge and assume the risks associated with submitting information to the Service, including possible loss, corruption, alteration, unauthorized access, disclosure, provider processing, or unavailability.

To the maximum extent permitted by applicable law, CXProAI is not responsible for claims, losses, or liabilities arising from the nature of information you choose to submit, your failure to secure or minimize it, your lack of authority to disclose it, or your use of the Service for unsupported regulated or confidential information. Nothing in this section excludes obligations or liability that applicable law does not permit to be excluded.

8. Output quality and user responsibility

AI-generated Output may be inaccurate, incomplete, misleading, biased, unexpected, offensive, defective, low quality, or unsuitable. It may fail to follow instructions or contain factual, technical, legal, or creative errors.

AI systems are probabilistic and may include randomness or other variable behavior. The same or substantially similar Input may produce materially different Output across runs, users, times, providers, model versions, settings, or Service updates. CXProAI does not guarantee reproducibility, consistency, determinism, continuity of style, or similarity between runs.

Any demonstrations, previews, examples, sample outputs, thumbnails, descriptions, promotional materials, use cases, or prior results are illustrative only. They do not promise or guarantee that your Output will have the same content, composition, style, duration, resolution, accuracy, quality, performance, or other characteristics.

CXProAI does not represent or warrant that Output:

  • is accurate, complete, current, original, lawful, non-infringing, or fit for any purpose;
  • qualifies for legal protection;
  • may be used commercially without additional rights, disclosures, permissions, or review;
  • will be accepted by any platform, marketplace, advertiser, publisher, authority, or third party;
  • will resemble a demo, preview, sample, advertisement, expected result, or prior Output;
  • will be reproducible, consistent, deterministic, or free from random or unexpected variation; or
  • will produce any business, financial, creative, marketing, legal, operational, or other result.

You are solely responsible for reviewing, verifying, editing, testing, clearing, labeling, and determining the suitability of Output before relying on, publishing, distributing, selling, or otherwise using it. You assume all risks arising from your Input, Output, and use of the Service. A completed Output is considered delivered even if it differs from your Input, expectations, a demonstration, a preview, a sample, a description, or a previous run, or if you consider its quality unsatisfactory.

The Service does not provide legal, medical, tax, accounting, investment, financial, employment, insurance, or other regulated professional advice. Output must not be used as the sole basis for high-impact, safety-critical, medical, legal, employment, housing, lending, insurance, eligibility, or similar decisions.

9. Acceptable use

You may not use the Service to:

  • violate law, sanctions restrictions, court orders, or another person's rights;
  • create or distribute unlawful, fraudulent, infringing, abusive, exploitative, threatening, harassing, defamatory, deceptive, or malicious content;
  • exploit or endanger children or create child sexual abuse material;
  • create or distribute non-consensual intimate content;
  • impersonate others, misrepresent identity or affiliation, commit fraud, or misuse a person's image, voice, likeness, or personal information;
  • generate malware, phishing, credential theft, spam, surveillance tools, security exploits, or instructions primarily intended to cause unlawful harm;
  • attack, probe, overload, disrupt, or gain unauthorized access to the Service or another system;
  • evade safety controls, content restrictions, access controls, billing systems, usage limits, or enforcement actions;
  • upload highly sensitive or regulated information unless CXProAI expressly authorizes that use in writing; or
  • assist another person in doing any of the above.

We may investigate suspected violations, use automated or manual controls, cooperate with authorities and rights holders, preserve relevant information, and suspend or terminate access.

10. Credits, charges, and refunds

Credits are prepaid, limited units redeemable only for eligible CXProAI services. Credits are not money, legal tender, stored value, a deposit, property held in trust, or a financial account. They have no cash value, do not earn interest, are non-transferable, and cannot be sold, exchanged, or redeemed for cash.

Current Credit prices and per-Solution costs are shown in the Service. We may change future prices, package sizes, Solution costs, promotions, or the amount of Service obtainable with Credits at any time.

Purchased Credits do not expire solely because of inactivity while your account remains open and in good standing. Credits may be corrected, restricted, cancelled, or forfeited where they result from error, fraud, abuse, a chargeback, a reversed or disputed payment, violation of these Terms, account termination, legal requirements, or discontinuation of the Service, subject to applicable law. Promotional or complimentary Credits may expire or be withdrawn.

A Solution may incur third-party costs before Output is delivered. Credits are generally returned only when our systems classify a run as technically failed before a completed result is made available.

A run is not failed merely because Output is delayed, inaccurate, incomplete, inconsistent, random, unexpected, low quality, unusable for your purpose, rejected by you, affected by your Input, restricted by a provider, different from a demonstration, preview, sample, description, prior run, or expected result, or otherwise does not meet your expectations.

Once a completed Output or designated result is made available, the run is considered delivered and the related Credit charge is final, regardless of perceived quality, usefulness, accuracy, similarity, reproducibility, commercial suitability, or whether you choose to download, use, publish, or keep the Output.

CXProAI determines whether a run is completed, failed, duplicated, refunded, or eligible for a discretionary adjustment based on its systems and records. Any courtesy Credit or adjustment is discretionary, does not constitute an admission of fault, and does not create an obligation to provide similar adjustments in the future.

Unusual usage adjustments

For normal use, the Credit cost displayed before a run is fixed. CXProAI aims to keep Credit pricing transparent, fair, and predictable.

In highly unusual circumstances, CXProAI may make a reasonable additional Credit adjustment if the actual cost of a run is materially increased by abnormal or unintended use, an unusually large or complex request outside the expected operation of the Solution, attempts to manipulate or bypass safeguards or usage limits, abusive or excessive automated activity, or a provider billing anomaly materially beyond reasonable expectations.

This narrow exception helps protect the Service from misuse and extraordinary costs and supports CXProAI's ability to maintain fixed and sustainable Credit pricing for normal use.

CXProAI will notify you if it applies such an adjustment. If your account does not have enough Credits, we may place the account in a restricted or negative balance and require the additional Credits before further use. We will not make an additional charge to your external payment method under this section without separate authorization.

This exception is not part of normal operation and does not change the fixed Credit cost shown for ordinary use. CXProAI determines whether an unusual usage adjustment is appropriate based on its systems, usage records, provider information, and reasonable assessment. Any such Credit adjustment is final and non-refundable except where CXProAI confirms an error or applicable law requires otherwise.

Except where required by law or expressly stated in our Refund & Cancellation Policy, all purchases and charges are final and non-refundable, including:

  • purchased or unused Credits;
  • API usage, including usage through compromised or shared API keys;
  • completed runs;
  • accidental purchases;
  • dissatisfaction with Output or its quality;
  • Output that differs from a demo, preview, sample, description, prior run, or expected result;
  • randomness, inconsistency, non-determinism, or variation between runs;
  • failure to download, use, publish, or obtain value from Output;
  • failure to use the Service; and
  • changes to, interruption of, or discontinuation of a provider, model, Solution, feature, API, capability, output format, or price.

A chargeback concerning a valid charge is a breach of these Terms. We may suspend the account, reverse Credits or benefits, and recover processor fees and collection costs.

11. Storage subscriptions and retention

Paid storage plans automatically renew at the disclosed interval until cancelled. By subscribing, you authorize recurring charges, including applicable taxes, to your payment method.

You may cancel through the available account or billing controls. Cancellation takes effect at the end of the current paid period unless applicable law requires otherwise. We do not provide partial-period refunds except where required by law.

We may change storage prices or features with reasonable advance notice. If payment fails, we may retry the charge, restrict storage, pause new work, downgrade the account, or suspend access.

When an account exceeds its allowance, we may prevent additional uploads, runs, exports, or project creation. We do not ordinarily delete content solely because an active account exceeds its quota, but we may delete content after account closure, termination, prolonged inactivity, nonpayment, a security event, legal requirements, provider changes, or discontinuation of the Service.

Retention periods may differ by feature. API results may be available only for the period displayed in the Service, currently seven days.

The Service is not a backup, archival, disaster-recovery, or permanent-storage service. You are responsible for keeping independent copies of important Input and Output. We do not guarantee that content will remain available, recoverable, uncorrupted, or exportable.

12. Suspension and termination

You may stop using the Service and request account closure at any time.

To the fullest extent permitted by law, we may restrict, suspend, or terminate your account, credentials, API access, content, or any part of the Service, with or without notice, if we believe:

  • you violated these Terms or another CXProAI policy;
  • your activity creates legal, security, payment, financial, reputational, technical, or operational risk;
  • fraud, abuse, unauthorized access, nonpayment, or a chargeback may have occurred;
  • action is required by law, legal process, a provider, or a rights holder;
  • continued access may harm CXProAI, another user, a provider, or a third party; or
  • we modify or discontinue the relevant Service.

Upon termination, we may cancel pending runs, disable credentials, restrict access, and delete or make content unavailable. We have no obligation to maintain, export, restore, or return content after termination or closure except where required by law.

Unused promotional Credits may be forfeited. Purchased Credits may be forfeited when termination results from fraud, abuse, chargeback, or material breach, subject to applicable law.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, CXPROAI MATERIALS, INPUT PROCESSING, OUTPUT, STORAGE, SUPPORT, APIS, AND ALL RELATED FEATURES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." YOU USE THEM AT YOUR OWN RISK.

CXPROAI AND ITS AFFILIATES, LICENSORS, PROVIDERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUALITY, AVAILABILITY, SECURITY, AND WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

We do not warrant that the Service will be available at any particular time or level, uninterrupted, timely, secure, error-free, compatible, or free of harmful components; that any Solution, API, model, provider, feature, price, capability, or output format will remain available; that Output will be accurate, consistent, deterministic, reproducible, lawful, original, useful, non-infringing, commercially usable, or similar to any demonstration, preview, sample, description, or prior result; that defects or failed runs will be corrected; that content will be retained or recoverable; or that use of the Service will produce any particular result.

No statement or information from CXProAI creates a warranty unless included in a written agreement signed by an authorized representative of Coexist Group LLC.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CXPROAI AND ITS AFFILIATES, LICENSORS, PROVIDERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, REPUTATION, SAVINGS, OR DATA; COST OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM OUTPUT, USER CONTENT, SERVICE-IMPROVEMENT OR DERIVED INFORMATION, SENSITIVE OR CONFIDENTIAL INFORMATION, LOSS OR DISCLOSURE OF DATA, SECURITY EVENTS, SERVICE INTERRUPTION, THIRD-PARTY PROVIDERS, ACCOUNT ACTIONS, UNAUTHORIZED CREDENTIAL USE, OR RELIANCE ON THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

IF, DESPITE THE FOREGOING EXCLUSIONS, CXPROAI OR ANOTHER PROTECTED PARTY IS FOUND LIABLE, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS (US $100); OR (B) THE AMOUNT YOU PAID TO CXPROAI FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

These limitations apply to the fullest extent permitted by applicable law, even if a remedy fails of its essential purpose. Nothing in these Terms excludes or limits liability that applicable law does not permit to be excluded or limited.

To the extent permitted by law, any claim arising out of or relating to the Service or these Terms must be filed within one year after it arose or be permanently barred.

15. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless CXProAI and its affiliates, licensors, providers, members, managers, officers, employees, contractors, and agents from all claims, proceedings, investigations, losses, liabilities, judgments, settlements, damages, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your Input, Output, applications, products, services, marketing, publication, distribution, or commercialization;
  • your use or misuse of the Service;
  • your violation of these Terms, law, or another person's rights;
  • allegations involving intellectual-property, privacy, publicity, biometric, voice, likeness, confidentiality, or contractual rights;
  • activity through your account or API keys;
  • your submission or processing of confidential, proprietary, sensitive, privileged, or regulated information; or
  • disputes between you and your customers, clients, employees, contractors, end users, or other third parties.

CXProAI may control the defense and settlement and select counsel. You will cooperate and may not settle in a way that admits fault by, imposes obligations on, or restricts CXProAI without our written consent.

16. Disputes, arbitration, and governing law

Before filing a claim, you and CXProAI agree to attempt informal resolution for at least 30 days. Send a written notice describing the dispute and requested relief to support@cxproai.com with the subject "Legal Dispute Notice."

Except for individual small-claims cases and requests by CXProAI for injunctive relief protecting intellectual property, security, access controls, confidential information, payment systems, or the integrity of the Service, disputes arising from the Service or these Terms will be resolved through binding individual arbitration administered by the American Arbitration Association under its applicable rules.

YOU AND CXPROAI AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS PART OF A CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION. FOR ANY DISPUTE THAT PROCEEDS IN COURT, EACH PARTY WAIVES A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You may opt out of arbitration by emailing support@cxproai.com within 30 days after first accepting these Terms. Include your full name, account email, and a clear statement that you are opting out of arbitration.

The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions in these Terms. These Terms are otherwise governed by the laws of the state in which Coexist Group LLC is organized, without regard to conflict-of-laws principles. Any claim not subject to arbitration must be brought exclusively in a state or federal court having jurisdiction where Coexist Group LLC maintains its principal place of business, unless applicable law requires another forum.

17. Intellectual-property complaints

If you believe content available through the Service infringes your rights, contact support@cxproai.com and identify the protected work, the disputed material and its location, your contact information, your good-faith belief, a statement under penalty of perjury that the information is accurate and you are authorized to act, and your physical or electronic signature.

We may remove or restrict content and terminate repeat infringers where appropriate. Knowingly false complaints may create legal liability.

18. Changes

We may change the Service, these Terms, and incorporated policies. Changes become effective on the date stated in the updated version.

For material changes, we may provide notice by email, through the Service, at sign-in, or by another reasonable method. We may require new affirmative acceptance. Otherwise, continued use after the effective date constitutes acceptance.

If you disagree with an update, your sole remedy is to stop using the Service and cancel subscriptions before renewal.

19. General terms

Communications

CXProAI may send you transactional, administrative, security, billing, support, legal, and operational communications relating to your account or the Service. These communications are part of providing and managing the Service and may continue while your account remains active. You generally cannot opt out of them, although you may close your account subject to these Terms.

You consent to receive agreements, disclosures, notices, receipts, and other account or Service communications electronically.

Where permitted by applicable law, CXProAI may also send occasional product news, feature announcements, tips, surveys, promotions, or offers. We will obtain consent where required. You may unsubscribe from these communications at any time through the link included in the message or through available account settings. Unsubscribing from product or marketing communications does not affect transactional or operational communications.

You may not use or export the Service in violation of United States export-control, trade, or sanctions laws.

CXProAI is not liable for delay or failure caused by events beyond its reasonable control, including provider failures, outages, cyberattacks, natural disasters, war, government action, legal restrictions, or third-party infrastructure failures.

You may not assign these Terms or your account without our written consent. CXProAI may assign these Terms to an affiliate or in connection with a financing, reorganization, merger, acquisition, sale of assets, change of control, or operation of law.

These Terms do not create a partnership, joint venture, employment, agency, fiduciary, or exclusive relationship.

If a provision is invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions remain effective. Failure to enforce a provision is not a waiver.

These Terms and the policies incorporated into them are the entire agreement regarding the Service and replace prior agreements on that subject. These Terms control in a conflict unless a separate written agreement signed by an authorized representative of Coexist Group LLC expressly states otherwise.

Provisions that by their nature should survive — including ownership, licenses, payments, disclaimers, liability limitations, indemnification, dispute resolution, and general terms — survive termination.
